The license, in plain words.

This End User License Agreement is the agreement between you and Accordial that governs your license to use the Accordial app. It covers what we let you do with the app, what you may not do, what the app is and is not, and what happens if something goes wrong. It sits alongside our Terms of Service and Privacy Policy.

  • This agreement is between you and Accordial, not Apple or Google. Accordial is solely responsible for the app.
  • The app is licensed to you, not sold. You get a personal license to use it, with limits described below.
  • You must be at least 18 years old to use the app.
  • The app is a communication platform, not therapy, medical care, mediation, legal advice, or an emergency service.
  • Your anonymous account depends on your recovery phrase. If you lose it, we cannot restore your account, because we hold nothing that identifies you.
Section 01

Acceptance and the parties.

Apps made available through the App Store and Google Play are licensed, not sold, to you. This Licensed Application End User License Agreement ("this Agreement") is a legal agreement between you and Accordial Tech LLC ("Accordial," "we," "us") covering the Accordial mobile application, together with any updates, upgrades, and content provided in it ("the App").

By downloading, installing, or using the App, you accept this Agreement. If you do not agree, do not download or use the App, and delete it from your device.

This Agreement is between you and Accordial only. It is not an agreement with Apple Inc. or Google LLC. Accordial, not Apple or Google, is solely responsible for the App and its content. Your download is also subject to the App Store or Google Play terms, which are separate from this Agreement.

Section 02

The license we grant you.

Accordial grants you a personal, limited, non-exclusive, non-transferable, revocable license to use the App on any Apple-branded product that you own or control, or on an Android device that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions or the Google Play Terms of Service.

This license is for your own personal, non-commercial use, except for practitioners who have signed our separate Practitioner Agreement. Except as the Usage Rules allow, you may not make the App available over a network where it could be used by more than one device at the same time. If you sell or give away your device, you must remove the App from it first.

Section 03

What you may not do.

Except where a restriction is prohibited by law, or permitted by the license of an open-source component included in the App, you may not:

  • copy the App, except as this license and the Usage Rules allow
  • reverse engineer, decompile, disassemble, or attempt to derive the source code of the App
  • modify the App or create derivative works of it or any part of it
  • rent, lease, lend, sell, redistribute, sublicense, or transfer the App or your license to it
  • remove, obscure, or alter any proprietary notice in the App
  • use the App to build a competing product or service
  • use the App to harass, abuse, stalk, threaten, defame, or otherwise harm any person
  • use the App in any way that violates applicable law or the rights of others
Section 04

Who can use the app.

You must be at least 18 years old to download or use the App. The App is built for adults navigating an adult relationship, and it is not directed to or intended for anyone under 18. You also need the legal capacity to enter into a contract where you live. Your eligibility and conduct are described further in our Terms of Service.

Section 05

Your anonymous account.

Accordial is anonymous by design. You can create an account without an email address, a phone number, or your real name, using Sign in with Apple with Hide My Email, a passkey, and a 12-word recovery phrase.

This is the heart of the product, and it carries one consequence you must understand. Your access depends entirely on your credentials and your recovery phrase. Because we hold no information that identifies you, we cannot verify who you are, and we cannot reset your credentials or restore your account if you lose your recovery phrase.

Keep your recovery phrase somewhere safe and private. If you lose it, your access and your data may be permanently unrecoverable, and there is nothing we can do to retrieve them for you. You are responsible for everything that happens under your account.

Section 06

The AI features.

The App includes automated features that help you draft, translate, and reflect on what you want to say to your partner, and that surface patterns across what you have shared. These features are produced by machine learning models.

They can be wrong, incomplete, or unsuitable for your situation. They are a private writing aid, not advice, and not a substitute for your own judgment or a qualified professional's. The AI does not mediate between you and your partner, does not produce binding agreements, and does not resolve disputes. Do not rely on it for medical, psychological, legal, financial, or safety decisions.

Section 07

What the app is not.

Accordial is a communication platform. It is not therapy, counseling, psychotherapy, or medical care. It is not mediation, conflict resolution, or legal advice. It does not diagnose, treat, or assess any condition.

It is not an emergency or crisis service. The App may surface crisis resources, but those resources are not a substitute for emergency help. If you or someone else is in danger or in crisis, contact your local emergency number, or in the United States call or text 988, or call 911.

Section 08

The practitioner marketplace.

The App can connect you with independent practitioners. Coaches are not licensed mental health professionals, and coaching is not therapy or medical care. Licensed therapists deliver their sessions through their own practice tools, with their own intake, payment, and records, and those sessions happen outside Accordial.

Practitioners are independent professionals, not Accordial employees or agents, and Accordial is not responsible for the services they provide. Your use of the marketplace is also governed by our Terms of Service.

Section 09

Data and privacy.

You agree that Accordial may collect and use the limited technical data needed to operate, secure, and improve the App, in a form that does not personally identify you, as described in our Privacy Policy. The Privacy Policy explains what we hold, what we deliberately do not hold, and what our service providers can see. By using the App, you consent to that handling.

Section 10

Subscriptions and in-app purchases.

Some features require a paid subscription. On iOS, subscriptions are sold through Apple's In-App Purchase system and billed to your Apple ID. On Android, they are sold through Google Play Billing.

Subscriptions renew automatically until you cancel them, and you manage or cancel them in your Apple ID or Google Play settings, not inside the App. Pricing and tier details are on our pricing page and in our Terms of Service. Refunds for App Store and Google Play purchases are handled under Apple's and Google's policies.

Section 11

External services and links.

The App may give you access to third-party services, websites, and resources, including crisis resources and practitioner tools ("External Services"). You use External Services at your own risk. Accordial does not control them, does not endorse them, and is not responsible for their content or accuracy.

Information shown through the App or an External Service, including any health, legal, financial, or location information, is for general information only and is not guaranteed by us. We may change, suspend, remove, or limit access to any External Service at any time without notice or liability to you.

Section 12

Intellectual property.

The App is licensed, not sold. Accordial and its licensors own the App and everything in it, including its software, design, text, graphics, and trademarks, and reserve all rights not expressly granted to you in this Agreement.

The content you create stays yours. Our Terms of Service and Privacy Policy describe how that content is handled.

Section 13

Maintenance, support, and warranties.

Accordial, not Apple or Google, is solely responsible for providing any maintenance and support for the App. Neither Apple nor Google has any obligation to furnish maintenance or support for the App.

Accordial, not Apple or Google, is responsible for any product warranties, whether express or implied by law, to the extent they are not effectively disclaimed below. If the App fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price of the App to you, if any. To the maximum extent permitted by law, Apple has no other warranty obligation for the App, and any other claims, losses, liabilities, damages, costs, or expenses arising from a failure to conform to a warranty are Accordial's responsibility.

Section 14

No warranty.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. ACCORDIAL DISCLAIMS ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, QUIET ENJOYMENT, AND NON-INFRINGEMENT OF THIRD-PARTY RIGHTS.

We do not warrant that the App will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that the App will meet your requirements. No oral or written information or advice given by Accordial or its representatives creates a warranty. Some jurisdictions do not allow the exclusion of implied warranties or limits on a consumer's statutory rights, so some of these exclusions may not apply to you.

Section 15

Limitation of liability.

TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT WILL ACCORDIAL BE LIABLE FOR PERSONAL INJURY OR ANY INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APP, UNDER ANY THEORY OF LIABILITY, AND EVEN IF ACCORDIAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow the limitation of liability for personal injury or for incidental or consequential damages, so this limitation may not apply to you. To the extent a limitation is permitted, Accordial's total liability to you for all damages, other than as may be required by law in cases involving personal injury, will not exceed fifty dollars ($50.00). These limitations apply even if the remedy above fails of its essential purpose. Nothing in this Agreement limits any liability that cannot be limited under applicable law.

Section 16

Export and legal compliance.

You may not use or otherwise export or re-export the App except as authorized by United States law and the laws of the jurisdiction in which you obtained it. In particular, the App may not be exported or re-exported into any U.S.-embargoed country, or to anyone on a U.S. government restricted-parties list, including the U.S. Treasury Department's Specially Designated Nationals List and the U.S. Department of Commerce Denied Persons List or Entity List.

By using the App, you represent and warrant that you are not located in any such country and are not on any such list, and that you will not use the App for any purpose prohibited by United States law, including the development, design, manufacture, or production of nuclear, missile, or chemical or biological weapons.

Section 17

Apple, Google, and government users.

You acknowledge that Apple and Google are not parties to this Agreement and are not responsible for the App or its content. Apple and its subsidiaries, and Google and its affiliates, are third-party beneficiaries of this Agreement, and upon your acceptance each has the right, and is deemed to have accepted the right, to enforce this Agreement against you as a third-party beneficiary.

In the event of any third-party claim that the App or your possession and use of it infringes that third party's intellectual property rights, Accordial, not Apple or Google, is solely responsible for the investigation, defense, settlement, and discharge of that claim.

The App and its documentation are "Commercial Items" as defined in 48 C.F.R. §2.101, consisting of "Commercial Computer Software" and "Commercial Computer Software Documentation." They are licensed to U.S. Government end users only as Commercial Items and with only the rights granted to all other end users under this Agreement.

Section 18

Governing law and disputes.

This Agreement is governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules, except where the App Store or Google Play terms require otherwise for the relationship between you and Apple or Google.

Any dispute between you and Accordial is handled the way our Terms of Service describe, starting with informal resolution, then binding individual arbitration administered by the American Arbitration Association, with the class-action waiver, opt-out right, and exceptions stated there. That dispute resolution section of the Terms of Service is incorporated into this Agreement by reference. The United Nations Convention on the International Sale of Goods does not apply to this Agreement.

Section 19

Changes to this agreement.

We may update this Agreement when the App changes or when the law changes. When we make a material change, we will update the "Last updated" and "Effective" dates at the top and post a clear in-app notice before the change takes effect.

If you do not agree to a change, stop using the App and delete it before the effective date. Continued use of the App after the effective date means you accept the updated Agreement.

Section 20

Developer information and contact.

The App is provided by Accordial Tech LLC, a New Jersey limited liability company, at 971 US Highway 202N STE N, Branchburg, New Jersey 08876, United States.
